These Terms of Use (the “Terms”) are an agreement between you and COTRA LLC (“COTRA”, “we”, “us”) for the use of Namix, an add-in for Microsoft Word, and of the website namix.cotrallc.com (together, the “Service”). By installing or using Namix, you agree to these Terms. If you do not agree, do not install or use Namix.
1. What Namix does
Namix saves a copy of the Word document you have open to your own OneDrive, under a file name built from the fields you choose (for example your name, the document title or the date). Namix works inside Microsoft Word on the web and in Microsoft Word for Windows and Mac where add-ins are supported.
2. Eligibility and accounts
You must be at least 18 years old, or the age of majority where you live, to use Namix. Namix requires a Microsoft account with access to OneDrive. Your use of Microsoft Word, your Microsoft account and OneDrive is governed by Microsoft’s own terms and privacy statement, not by these Terms. You are responsible for keeping your Microsoft account secure.
3. License
Subject to these Terms, COTRA grants you a limited, personal, non-exclusive, non-transferable and revocable license to install and use Namix for your own business or personal purposes. You may not copy, modify, distribute, sell, rent, reverse engineer or create derivative works of Namix, except where the law allows it despite this restriction.
4. Your documents
You keep all rights to your documents. Namix reads the open document and its properties only to build the file name and create the copy, and the copy goes directly to your OneDrive. COTRA does not receive, store or claim any rights over your documents. You are responsible for the content of your documents and for having the right to store them in OneDrive.
5. Acceptable use
You agree not to:
- use Namix to break any law or to infringe anyone’s rights;
- interfere with or disrupt the Service, or try to access it by means other than the interfaces we provide;
- use Namix to store or distribute malicious software;
- remove or alter any notice of ownership in Namix.
6. Fees and trial
Namix is offered with a free trial of 3 days, after which continued use requires a paid subscription at the prices shown at the time of purchase. Subscriptions renew automatically until cancelled. Payments made through the Microsoft store, the Apple App Store or Google Play are handled by those stores under their own terms, including their refund rules. Payments made on the COTRA website are handled by a third-party payment provider under its own terms. Except where the law requires otherwise, fees are not refundable.
7. Privacy
Our Privacy Policy, available at https://cotrallc.com/privacy/, explains what information Namix accesses and how it is handled. By using Namix you agree to that policy.
8. Updates and availability
We may update Namix, add or remove features, or stop offering Namix at any time. Updates may be delivered automatically through Microsoft’s add-in platform. We do not guarantee that Namix will be available without interruption, since it depends on Microsoft services that we do not control.
9. Intellectual property
Namix, its name, its logo and its code are the property of COTRA LLC and are protected by copyright and other laws. Microsoft, Word and OneDrive are trademarks of Microsoft Corporation. COTRA LLC is not affiliated with or endorsed by Microsoft.
10. Disclaimer of warranties
NAMIX IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT NAMIX WILL BE ERROR-FREE OR THAT ANY COPY WILL BE SAVED SUCCESSFULLY. YOU REMAIN RESPONSIBLE FOR KEEPING YOUR OWN BACKUPS OF YOUR DOCUMENTS.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, COTRA LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS OR BUSINESS, ARISING FROM YOUR USE OF OR INABILITY TO USE NAMIX. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO NAMIX WILL NOT EXCEED THE AMOUNT YOU PAID US FOR NAMIX IN THE TWELVE MONTHS BEFORE THE CLAIM, OR TEN US DOLLARS (USD 10) IF YOU PAID NOTHING. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnity
You agree to defend and hold COTRA LLC harmless from any claim arising from your documents, your breach of these Terms or your violation of any law or third-party right.
13. Termination
You may stop using Namix at any time by removing the add-in from Word. We may suspend or end your access to Namix if you breach these Terms or if we stop offering the Service. Sections 4, 9, 10, 11, 12 and 14 survive termination.
14. Governing law and disputes
These Terms are governed by the laws of the State of NY, United States, without regard to its conflict-of-law rules. Any dispute that cannot be settled amicably will be brought before the state or federal courts located in BRONX county, NY, and you consent to their jurisdiction. If you are a consumer in a country whose law gives you mandatory protection, nothing in this section takes that protection away.
15. Changes to these Terms
We may change these Terms from time to time. The current version is always published at https://cotrallc.com/terms/ with the date of the last update. If a change is material, we will give notice on the website or in Namix before it takes effect. Continued use of Namix after a change means you accept the new Terms.
16. General
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to a successor of our business. These Terms, together with the Privacy Policy, are the entire agreement between you and COTRA LLC regarding Namix.
